CHAPTER 16 IMPORT CONTRACT ¡@

The Purchaser :
The Seller :
This contract is made by/and between the purchaser (¡K¡K¡K¡K¡K¡K¡K¡K) and the seller (¡K¡K¡K¡K¡K¡K¡K¡K¡K¡K¡K), whereby the buyer agrees to buy and the seller agrees to sell the under-mentioned goods on the terms and conditions which are stipulated as below:
1- Name of Commodity & Specification 2- Quantity 3- Unit Price 4- Total Value 5- Country of Original (C/O) & Manufacturer 6- Packing List 7- Shipping Mark 8- Time of Shipment 9- Port of Loading 10- Port of Destination 11- Insurance 12- Payment:
When the buyer receives the pre-shipment notice from the seller, he will open an irrevocable L/C in favor to the seller for an amount equivalent to the total value of the shipment within 15 days prior to the date of delivery.
13- Documents:
A- One full set of on Board Bill of Lading. B- Five Copies of Commercial Invoice C- Five Copies of Packing List D- A copy of cable to the purchaser to inform the buyer about the date of shipment. E-Two copies of Quality and Quantities issued by the manufacturer.
14- Terms of Shipment: ¡@ A- The seller will inform the buyer by cable of the contract number, commodity, quantity, value, number of package and gross weight¡K etc.
B- The seller shall be responsible for any demurrage if he fails to have the commodity which is ready for loading after the carrying vessel has arrived at the port of shipment on time.
C- The seller shall be responsible for all expenses and risks of the commodity before it passes over the vessel¡¦s rail and is released from the tackle. After it has been released from the tackle, all expenses of the commodity shall be borne by the buyer.
15- Guarantee of Quality:
The seller shall guarantee that the quality of commodity is as same as the stipulation in the import contract.
16- Inspection:
Prior to the delivery, the manufacturer shall conduct the precise inspection of the goods as regards the quality, specification, quantity and weight, and issue the certificate to certify that the commodity is in conformity with the stipulations of the contract.
17- Claims:
If the goods are not in conformity with the stipulation in the contract, the buyer will refuse to receive the commodity and requests to the seller refunds the value of goods. The seller is also responsible for all expenses including interest, banking charge, insurance and warehouse charge¡K.etc.
18- Late Delivery and Penalty:
If the seller fails to deliver the goods on time, the seller agrees to pay a penalty 10% of the purchase value to the buyer. If the seller fails to make delivery within 10 weeks after the time of shipment stipulated in the contract, the buyer shall have the right to cancel the contract and the seller shall still pay the aforesaid penalty to the buyer without delay.
19- Force Majeure:
The seller shall not be responsible for delay in shipment or non-delivery of the goods due to Force Majeure, which has occurred during the manufacturing process. The seller shall inform the purchaser immediately about the occurrence of the Force Majeure accident within 14 days. If the accident lasts for more than 10 weeks, the buyer shall have the right to cancel the contract.
This contract is written in Cambodian and English languages, both two versions are equally authentic. In case of any divergence of interpretation, the Cambodian version shall prevail.
