Sales Contract

BETWEEN

 It is mutually agreed between the BUYER & the SELLER to buy & sell the following:

ITEM                :   Deformed bars for reinforcement of Ferroconcrete Structures.

 Origin              :   Russia

Diameter (mm) :   8, 10, 12, 14 and 16

Length             :   12 meters

Quantity          :   5,000 tons

Unit Price         :   US$ 185.00/MT CIF Sihanoukville port, Kingdom of Cambodia

Amount            :   US$ 925,000.00 (United States Dollars Nine Hundred Twenty Five Thousand Only)

Delivery           :   45-60 days from receipt of advance

Payment Terms:   5% in advance on signing of contract (US$46,250.00/-).

                        95% by irrevocable, transferable & divisible L/C at 180 days

Guarantee Clause  :   In case of default by the seller on delivery of goods, the seller shall pay 10% to the buyer    

Documentation:    - 6 sets of invoice

                              - 6 sets of Packing List

               - SGS pre-shipment inspection certificate

                              - Insurance policy covering “all risks”

                              - 2 sets of Original B/L + 2 copies

                              - Certificate of Quality & Quantity from seller.

Both the parties agree to comply by this contract & the same is binding on both the SELLER and the BUYER.

This contract is signed on this 8^th day of June 1999 at Phnom Penh.
